Preliminary Matters

These Terms of Subscription (the "Agreement") are legally binding and regulate the use to which a subscriber may put any material obtained from this website, whether by download or by streaming. The material in question, namely each seminar, conference, webinar, eBook and eDocument, and every further item of content, is referred to collectively as the "Content" and is published by the Spokane Women Leaders Association. In the pages that follow, "we", "us" and "our" denote the Spokane Women Leaders Association, which may also be described simply as the Association. Rights in the intellectual property comprised in the website and the Content are vested in the Association or in its licensors.

Acceptance of the Agreement was sought from you on an earlier occasion, being either prior to your initial access to Content in the capacity of a subscriber or by a confirming e-mail sent subsequently, and it is sought anew at every renewal. Your acceptance is moreover renewed by conduct whenever you access the Content. For that reason you are advised to consult the section entitled "Enquiries and Revisions" at the close of this document before each visit, so as to discover whether any alteration has been made since you last attended the website.

A person who does not accept the Agreement, or who has no authority to accept it on behalf of the business or employer for whom that person acts, is not to access or make use of any Content. It is prudent, and recommended, that you retain a copy of the Agreement among your records.

Intellectual Property and the Licence Conferred

Title

Every intellectual property right subsisting in the Content, not excluding copyright and database rights, is held by the Association or its licensors. You accept that the designation "Spokane Women Leaders Association" constitutes our trade mark, the use of which by you is forbidden save with our written permission.

What is licensed

A non-exclusive licence is conferred upon you, exercisable for your own legitimate business or personal purposes and for no other, permitting you to retrieve Content and to view it upon any compatible device and, in respect of any Content made available for download, to download and retain one copy thereof upon a storage device personal to you, a USB drive being an instance. Retention upon any shared drive, shared server or other storage device attached to a network is not permitted.

What is forbidden

You shall refrain from doing, and shall not permit any third party to do, any of the following acts:

• save insofar as expressly permitted under the heading "What is licensed", copying, reproducing, broadcasting, transmitting, modifying, abstracting, creating derivative works of, storing, archiving, aggregating, publicly displaying, redistributing, sharing, forwarding, licensing, sub-licensing, publishing or selling any Content, or turning any Content to commercial account by whatever means;
• divulging to any individual or other third party your username, password or other particulars of access to the website (such particulars together being your "ID");
• rendering your ID available to more than a single user, whether upon a network, inside an organization or by other means;
• removing from the Content any notice of copyright or of trade mark;
• framing, harvesting or scraping the Content, or any practice of like character; and
• employing the Content in furtherance of any unlawful purpose.

Monitoring and sanctions

The Association reserves to itself a right to monitor your use of any Service. Use of the Content contrary to the provisions of this section entitles the Association to cancel your subscription or to suspend your access to the Content.

WHATEVER RIGHTS ARE RESERVED TO THE SPOKANE WOMEN LEADERS ASSOCIATION BY THE AGREEMENT ARE RESERVED WITHOUT PREJUDICE TO OUR OTHER RIGHTS AT LAW, AMONG WHICH ARE RIGHTS CONFERRED BY APPLICABLE COPYRIGHT LEGISLATION.

Obligations of the Subscriber

Subscription is conditional upon your furnishing registration particulars about yourself which are accurate and complete. The keeping of those particulars current is your responsibility and is to be effected by communication with us at service@BizSummits.org. No subscription extends to more than a single user.

Where you have obtained a subscription for use at a company or other organization by which you are employed or engaged, your acceptance of the Agreement binds that organization in addition to yourself, and you and the organization alike bear responsibility for use of the Content in conformity with the Agreement. Each user within such an organization must hold a separate subscription.

Responsibility for all use of the Content effected under your ID, whether by you or by another, rests with you, as does the duty of preventing any unauthorized use of that ID. Should you desire to change your ID, or have reason to believe that security has been breached, for example through disclosure, theft or unauthorized use of your ID or of payment information, you are to notify the Association forthwith by e-mail addressed to service@BizSummits.org.

The Association may from time to time offer subscriptions of more than one level or type, with the Content and services accessible to you varying according to the level acquired; the position will be made clear to you upon acquisition. The Association reserves a right to vary the Content and services, and any level of subscription, at any time. Though the Association will endeavour to deal promptly with your application, it offers no guarantee that the Content will be accessible to you by any specified time after purchase.

Payment

At the time of subscribing you are required to furnish complete and accurate payment information, and you undertake to pay according to the rates prevailing on the date of subscription. The submission of card payment details to us operates as your warranty that you are entitled to purchase a subscription by means of those details. In the event that timely payment or payment authorization is not received, or that any authorization is afterwards cancelled or refused, we may forthwith terminate your subscription or suspend your access to the Content. All charges are rendered in US dollars, and you may in addition be liable for any applicable taxes.

Duration, Renewal, Cancellation and Refunds

Term and renewal

Payment terms and subscription lengths may vary, and those applicable to you will be made clear upon subscription. An annual subscription is renewed for a further year upon expiry of the annual period unless, before that expiry, you have notified us that you no longer wish to receive it, and the renewal is charged to the card or other payment method previously used by you.

Commencement and change of mind

In placing an order you consent to our commencing your subscription immediately upon acceptance of that order. It follows that no entitlement to a refund arises should you change your mind after access to your subscription has been afforded to you.

Cancellation by you

Save as provided under the heading "Commencement and change of mind", no right is conferred upon you to cancel your subscription, in whole or in part, before the expiry of the subscription period then running. Notice of an intention to cancel may be given at any time, but takes effect only upon such expiry, and no refund is made (other than in the limited circumstances set out in the Agreement). Notice is to be given to our Customer Services team at service@BizSummits.org.

Suspension or termination by us

The Association reserves a right to suspend or terminate your subscription upon your breach of these terms and conditions, with or without notice and without further obligation to you. A like right arises where circumstances beyond our control prevent us from providing services to you.

Pro rata refunds

Where your subscription is terminated by us for any reason, and/or where we permanently cease publishing the Content or cease to provide subscription services, a pro rata refund shall, absent exceptional circumstances, be made to your credit card, comprising any sums paid by you in advance in respect of any remaining and unexpired portion of your subscription.

Extent of Liability

The provisions under this heading are of importance and merit your careful attention, since they define the extent, if any, to which the Association accepts responsibility (liability) to you arising from your use of the Content.

The Content and the website are furnished on an "as is" and "as available" basis. No liability is accepted for matters lying beyond our reasonable control, for the internet, for acts of God or for acts of third parties; nor for any use made by you of Content outside the scope of the Agreement; nor, where no subscription fee has been paid by you, for the Content or the website at all.

No assurance is given as to the availability, quality, security, completeness or accuracy of the Content or the website, or as to their freedom from viruses or anything of similar nature. We shall endeavour to develop the Content and to operate the website with reasonable skill and care, and shall employ reasonable efforts to remedy any fault coming to our attention; beyond that undertaking, no promise is made in respect of the Content or the website.

The Content serves the purposes of general information and use alone and is not framed to meet your particular requirements. It constitutes neither advice nor any recommendation, representation or endorsement, and is not to be relied upon by users in taking, or abstaining from, any specific business, investment or other decision.

SUBJECT TO THE BOUNDS OF APPLICABLE LAW, WE HEREBY DISCLAIM EVERY WARRANTY, REPRESENTATION, CONDITION AND DUTY OF WHATSOEVER KIND, SPECIFICALLY INCLUDING, WITHOUT LIMITATION, WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

OUR FINANCIAL RESPONSIBILITY TOWARD YOU, HOWSOEVER ARISING FROM YOUR USE OF THE CONTENT OR OTHERWISE IN RESPECT OF THE AGREEMENT, IS RESTRICTED TO DIRECT DAMAGES, THE AGGREGATE OF WHICH SHALL NOT SURPASS THE PRICE PAID BY YOU FOR YOUR SUBSCRIPTION.

THE LIMITATIONS OF LIABILITY IN THIS SECTION ON EXTENT OF LIABILITY INURE TO THE BENEFIT OF THE SPOKANE WOMEN LEADERS ASSOCIATION, OF ITS AFFILIATES, AND OF THE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS OF ALL OF THEM.

No provision of the Agreement shall operate so as to exclude or restrict liability for death or personal injury occasioned by negligence, for fraud or fraudulent misrepresentation, or for any liability incapable in law of limitation or exclusion.

Law, Forum and Arbitration

The Agreement shall be governed by and construed according to the laws of the State of Delaware, United States of America, irrespective of any conflict or choice of law principles, and you and we irrevocably submit to the exclusive jurisdiction of the appropriate federal or state court in Delaware for the settlement of any dispute arising out of, under or in connection with it. Any legal action arising from or relating to your subscription to, use of or purchase of the Association's products or services shall nevertheless be brought by way of arbitration conducted under the rules of the American Arbitration Association in Atlanta, Georgia, the filer (plaintiff) bearing all arbitration filing and hearing costs and each party defraying its own legal fees.

Boilerplate

No right of yours under these terms and conditions may be assigned, sub-licensed or otherwise transferred by you. You consent to our assigning any right, or delegating any duty or obligation, of ours under the Agreement to any third party, without further consent from you, in connection with any reorganization, merger, consolidation, sale of assets or analogous transaction.

The invalidity of any provision of these terms and conditions, if so found by a court of competent jurisdiction, shall leave undisturbed the validity of the residue, which shall continue in full force and effect. Omission by either party to exercise any right or remedy under these terms and conditions shall not be construed as a waiver thereof. Headings herein are inserted for convenience and bear no legal meaning or effect.

The Agreement embodies the entire agreement between the Spokane Women Leaders Association and you respecting the Content and supersedes every prior agreement, communication, representation and arrangement, whether in writing or oral.

The present version of the Agreement was published on October 18, 2026 and supersedes, with immediate effect, the subscriber agreement previously published. We may alter the Agreement from time to time and will publish the date of each alteration under this heading, which you are advised to consult regularly to ascertain whether it has been updated.
